Senior Legal Counsel (Corporate Law & Governance / Mergers & Acquisitions (M&A) / Commercial Contracts & Compliance – Johannesburg, South Africa

Job Description: Our client is seeking a Senior Legal Counsel who will support the company’s Legal department through its activities and jurisdiction under the supervision of the General Counsel Group. This is a corporate focused, in-house role; as such, while the primary and most important area of expertise required is in corporate matters, the successful candidate must demonstrate a strong willingness and adaptability to work on a wide variety of legal tasks as needed. The candidate will take primary responsibility for standard corporate affairs, corporate governance, group structure, and M&A. We also prefer individuals who also have first-hand experience in corporate tax matters and/or fundraising. Responsibilities: Lead corporate governance, corporate structure, records, and statutory compliance across the Group. Advise and support M&A activities, joint ventures, fundraising initiatives, and strategic corporate transactions. Coordinate due diligence processes and assist with transaction and corporate documentation. Provide guidance on corporate tax matters across multiple jurisdictions. Review, draft, and negotiate commercial agreements, leases, NDAs, and operational contracts. Develop and maintain standard contract templates and consistent commercial contracting processes. Provide in-house support on South African employment and labour law, including employment contracts, HR policies, and disciplinary frameworks. Monitor South African legislative and regulatory developments and support licensing, permits, and regulatory filings. Requirements: Qualification and Skill Law degree. Admittance to the relevant legal body or bar association in South Africa. 7+ years of qualified experience (but with consideration of outstanding candidates with less experience) working as a lawyer in South Africa, with a strong, demonstrable background in corporate law, corporate governance, and corporate transactions. Experience in corporate tax matters and fundraising is preferred (but non-essential). An adaptable, collaborative mindset with a willingness to manage broader in-house legal responsibilities beyond pure corporate law. Excellent oral and written communication skills in English.
