Senior Legal Counsel

About the Role:

We are seeking an experienced and business-oriented Senior Legal Counsel to support Gorilla Technology's global operations. This role will provide strategic legal advice across a broad range of corporate, commercial, and regulatory matters, with a strong focus on cross-border transactions, contract review, corporate governance, compliance, and litigation. The ideal candidate will be able to operate independently in a fast-paced international environment and partner closely with internal stakeholders across multiple jurisdictions.

Roles & Responsibilities:

• Draft, review, negotiate, and advise on a broad range of commercial agreements, including NDAs, SaaS, vendor and procurement contracts, partnerships, technology licensing, and professional services agreements.
  
• Provide legal support for global business operations, strategic transactions, and corporate initiatives.
  
• Advise management and business teams on legal risks, regulatory requirements, and compliance matters.
  
• Support corporate governance matters, including board resolutions, shareholder matters, subsidiary management, and corporate secretarial coordination.
  
• Manage and coordinate external counsel across multiple jurisdictions.
  
• Assist with litigation management, dispute resolution, employment matters, and regulatory inquiries. • Support M&A, financing, investment, and restructuring transactions as needed.
  
• Develop and improve internal legal processes, templates, and compliance programs.
  
• Provide practical and commercially focused legal guidance to internal stakeholders.
  

Requirements

• Bachelor’s degree in Law (LL.B., LL.M., J.D., or equivalent); qualified lawyer in at least one jurisdiction preferred.
  
• 5–10+ years of relevant legal experience, preferably with international law firm experience.
  
• Fluent in English; Mandarin Chinese proficiency is a plus.
  
• Strong experience in commercial contract negotiation and cross-border compliance.
  
• Ability to operate independently in a fast-paced environment.
  
• Experience in technology or the SaaS industry is a strong advantage.
