Position Responsibilities:
Technical requirements
This is a review and sign off level role, not a learning role. The candidate must be fluent in the following areas:
- Consolidated C corporation compliance. Form 1120 consolidated returns, intercompany eliminations, SRLY, Section 382 ownership change analysis, and consolidated return basics under the 1502 regulations.
- Partnership compliance. Form 1065 for PE operating partnerships, including tiered structures, Section 704(b) and 704(c) allocations, Section 743(b) step ups, and K 1 reporting to PE sponsors and blockers.
- PE deal and transaction tax. Transaction cost analysis, 338(h)(10) and 336(e) elections, Form 8594 purchase price allocation, earnout and escrow treatment, rollover equity, and post-acquisition integration.
- Multistate compliance. Apportionment, combined and unitary filings, nexus analysis, state addbacks, and state NOL tracking post M&A.
- Current hot topics. Section 163(j) interest limitation, Section 174 and 174A capitalization and recovery options under OBBBA, bonus depreciation, and GILTI and FDII at a working level.
- ASC 740. Provision review, deferred tax, valuation allowance analysis, and return to provision coordination with client controllers and auditors.
- GoSystems. Proficient in GoSystems for consolidated C corporation returns. CCH Axcess experience is not a substitute.
Qualifications:
- Senior Manager level. Approximately 8 to 12 years of public accounting experience
- CPA required
- Direct experience managing PE backed clients is essential, not preferred. Background can be in consolidated C corp portfolio companies, PE operating partnerships, or a mix of both
- Prior experience working alongside in house Directors of Tax and engaging with client side tax leadership as a peer
- Location flexible
Managerial Profile:
- Able to run a senior engagement team, review complex consolidated returns at a sign off level, and own workflow and delivery for multiple six figure accounts simultaneously
- Confident and polished to manage direct relationships with in house Directors of Tax, who expect technical precision, responsiveness, and proactive advisory, not compliance delivery alone
- Track record of developing and mentoring managers and staff
- Executive presence to represent Aprio credibly on demanding, high expectation engagements
