US Commercial Counsel

About the Role

Factory is looking for a US Commercial Attorney to join our growing Legal team, reporting directly to the General Counsel. In this role, you will focus heavily on Enterprise (US) deals and high-velocity contract work, serving as a critical bridge between our commercial goals and risk management.
This is a high-impact role requiring a pragmatic, growth-oriented lawyer who thrives in a fast-paced environment. You will partner directly with Sales, Operations, Engineering, and senior leadership to protect the company while accelerating our deal velocity.


What you will do and achieve

  • Drive Enterprise Deals: Manage a high-volume commercial workflow, redlining and negotiating key legal documents including Licensing, B2B SaaS agreements, MSAs, and NDAs.

  • Close with Velocity: Engage directly with enterprise-level opposing counsel, ensuring swift, fair, and strategic deal closures.

  • Balance Risk & Reward: Provide crucial legal guidance to technical and operational teams, translating complex legal frameworks into actionable, business-first advice.

  • Scale Legal Infrastructure: Partner with the General Counsel to build and refine Factory’s internal legal playbooks, contract templates, and negotiation guardrails to support our rapid post-Series C scale.


Qualifications

  • Experience: 7+ years of experience drafting and negotiating commercial contracts (including at least 2 years in-house); OR 10+ years of experience at a major law firm looking for your first foundational in-house opportunity.

  • Domain Expertise: Proven track record handling high-velocity B2B SaaS, enterprise software licensing, and inbound/outbound tech transactions.

  • Credentials: J.D. from an accredited law school and active membership in good standing with any US state bar, provided you are eligible to register as In-House Counsel in New York.

  • Mindset: A "roll up your sleeves" attitude with the ability to navigate ambiguity, prioritize a heavy workload, and thrive in a lean, fast-growing tech environment.

  • Communication: Exceptional communication and storytelling ability—you can parlay complex national and international requirements into clear narratives for non-lawyers.

Nice to have:

  • Federal Contracting: Experience navigating government procurement, defense/civilian agency contracts, or FAR/DFARS compliance.

  • US Privacy Law: Strong working knowledge of US privacy regulations (CCPA/CPRA, etc.) and data security frameworks as they relate to AI and cloud infrastructure.

Location: New York (5 days a week in office); we are willing to consider remote setups strictly on the Eastern Time Zone for exceptional candidates.
