Vice President Decentralized Finance OnChain Counsel Corporate

You will provide legal counsel on decentralized finance, staking, validation, tokenization, compliance, commercial transactions, and governance. You will draft and negotiate digital-asset agreements, identify and mitigate legal risks, manage outside counsel, advise on regulatory developments, and support corporate projects.

Responsibilities

• Advise on OnChain and decentralized-finance legal negotiations involving staking, validation, and tokenization
• Draft, review, and negotiate token purchase, staking, validation, token liquidity, and token grant agreements
• Provide legal guidance on decentralized-finance and cryptocurrency regulations
• Identify and mitigate legal risks
• Collaborate with product, engineering, and business functions on legal compliance
• Manage outside counsel engagements
• Draft and negotiate non-disclosure agreements
• Address intellectual property, data privacy, and governance matters
• Monitor industry trends, regulatory updates, and emerging technologies
• Manage legal workflow in a dynamic environment
• Support special corporate projects

Requirements

• 3+ years of transactional experience at top-tier law firms or crypto-focused companies
• Knowledge of blockchain
• Understanding of staking, validation, and decentralized-finance protocols
• Experience negotiating digital-asset agreements

• Member in good standing of the New York State Bar
