Vice President, Investment Legal
Headquartered in Toronto, the Canada Infrastructure Bank (CIB) is responsible for investing in new infrastructure projects. The CIB’s mission is to work with provincial, territorial, municipal, federal, Indigenous and private sector investor partners to transform the way infrastructure is planned, financed and delivered in Canada.
Reporting to the EVP, Investment Operations, the Vice President, Investment Legal leads a national team of legal professionals providing support across the CIB’s investment lifecycle. The role sets legal standards for transactions, enables disciplined and business-focused execution, ensures compliance with mandate and regulatory requirements and serves as the senior legal advisor on the CIB’s most complex investments.
Your responsibilities include:
Project Execution Leadership
- Lead the CIB’s Investment Legal team in high performance service delivery across all transactions, enabling support of i) the Investments deal teams to create high quality and consistent structures and documentation that reflect mandate, approved economics and risk‑sharing objectives; and ii) the Asset Management team on post‑close amendments, waivers, consents and enforcement readiness
- Directly support the most complex investments
- Drive a culture of innovation and problem solving in collaboration with the Investments deal teams
- Develop evaluation protocols and coordinate with Investment deal teams for the retention and management of external legal counsel to support investment activities, ensuring quality, responsiveness and value for money
Guidance, Risk and Compliance
- Establish and maintain Investment Legal guidance, templates and policies drawing on market-based finance principles to drive business focus, consistency and speed
- Implement procedures and controls to ensure compliance with the CIB’s mandate and authorities, and with applicable legal and regulatory obligations (e.g., environmental/impact assessments, Crown Duty of Consult and trade‑law considerations as applicable)
- Align Investment Legal practices with enterprise policies (records management, information security) and the EVP & Chief Legal and Information Officer’s reserved authorities (privilege, conflicts of interest, significant litigation, regulatory investigations)
Communication and Relationship Building
- Build and maintain trusting relationships with Investment deal teams, internal stakeholders (Investment Risk, Investment Impact, Asset Management), and external legal counsel to promote early and constructive legal engagement
- Prepare concise, decision‑oriented materials for the Project Intake Committee, Management Investment Committee, and the CIB’s Board
- Deliver training/workshops to Investments deal teams and Asset Management on key legal issues (e.g., intercreditor norms, diligence guidelines, amendment/waiver governance)
People Leadership
- Manage the Investment Legal team members (Senior/Legal Counsel and Paralegal); set objectives, coach and build succession
- Plan capacity against project pipeline in coordination with the Investments team resource manager, ensure effective balance and use of internal and external counsel and knowledge capture from each transaction
Your ideal profile:
- LL.B./JD or equivalent required, as well as licensed to practice law in Ontario, Québec, or Alberta
- Minimum ten years of relevant post-qualification experience in a leading law firm and/or in-house legal department of an infrastructure-related firm
- Expertise in project and corporate financing, equity investing, infrastructure-related commercial agreements, governance and compliance initiatives
- Demonstrated experience advising and supporting executives or boards with a business-focused lens
- Experience working in a multidisciplinary team environment and balancing competing work demands, prioritizing and being responsive to business needs
- Strong communication, leadership and interpersonal skills, including an ability to proactively build relationships and work cooperatively with many different stakeholders
- Excellent legal drafting and negotiating skills, with the ability to simplify complex legal concepts into clear, actionable advice
- Bilingual in both official languages (English and French) verbal and written, strongly preferred
