VP / SVP – Startup Debt
We
are seeking an experienced VP / SVP to join our Startup Debt team, covering
venture debt, structured credit, working-capital and growth-debt financing for
high-growth startups and new-economy businesses. This is an
origination-and-execution role. You will build and convert your own pipeline of
debt mandates, structure and price transactions, and be accountable for
delivery and successful closure of deals against agreed revenue and origination
targets.
You will own your debt mandates end to
end: cultivating relationships with founders, CFOs, and financial sponsors, as
well as the lender and investor community (banks, NBFCs, venture-debt funds,
and credit funds); converting opportunities into signed mandates on
commercially attractive terms; and driving execution through to disbursement
and closing, supported by Capwise's broader platform, central origination
network, and execution capabilities.
Key
Responsibilities
1.
Origination & Business Development
· Revenue & Target Ownership: Carry and
deliver an annual fee-revenue and origination target for the startup-debt
practice, managing your pipeline coverage and reporting performance and
forecasts to the team's leadership.
· Origination & Pipeline: Build and own a
proprietary pipeline of startups, founders, CFOs, VC/PE sponsors, and lenders
across the new-economy space, supplemented by the firm's central network and
balance sheet.
· Pitch to Win: Lead pitches and lender processes,
presenting deep debt-market insight and bespoke financing structures that
convert prospects into signed mandates.
· Mandate
Structuring: Draft, negotiate, and finalize Mandate Letters, Engagement
Agreements, and fee structures, pricing mandates to protect the practice's
margin and the commercial interests of the firm.
2. Transaction Oversight & Delivery
· Transaction
Management: Drive delivery across the entire lifecycle of debt transactions —
venture debt, structured credit, and working-capital and growth-debt facilities
— from mandate through to disbursement.
· Financial
Modeling & Structuring: Supervise the creation of financial models,
debt-sizing and cash-flow analyses, covenant design, and repayment and returns
structures that balance client needs with lender risk appetite.
· Collateral
Preparation: Ensure the highest-quality production of pitch books, lender
presentations, Information Memorandums, Teasers, and financing proposals.
3.
Due Diligence & Deal Closing
· Data Room
Management: Oversee Virtual Data Rooms (VDR), managing the flow of information
between clients, lenders, and investors.
· Due
Diligence Coordination: Lead the financial, legal, tax, and business due
diligence processes with clients and lenders, actively resolving deal-breakers
and bottlenecks.
· Definitive
Documentation: Collaborate with legal counsels to negotiate and finalize Term
Sheets, Facility and Loan Agreements, Debenture / NCD documentation, Security
and Inter-creditor Agreements, and other definitive financing documents.
4.
Team Leadership & Stakeholder Management
· Team Leadership: Manage, mentor, and
maximize the utilization and productivity of the Associates and Analysts
supporting the Startup Debt team, reviewing their work and developing their
capabilities.
· Client
& Lender Management: Act as a trusted advisor to founders, CFOs, boards,
and promoters across the full relationship lifecycle, and maintain strong
relationships across the lender and investor community, deepening wallet share
and building a durable, repeat client base.
Requirements
Qualifications
& Experience
· Education: MBA from a Tier-1 business school, Chartered Accountant (CA), or CFA
charterholder.
· Experience:
8–12 years of core investment banking, debt advisory, or lending experience
within a reputed IB firm, bank, NBFC, venture-debt or credit fund, or boutique
advisory house, including meaningful exposure to startup and new-economy
clients.
· Track
Record: A proven history of successfully structuring and closing debt
transactions (venture debt, structured credit, and working-capital or
growth-debt facilities). Must be able to demonstrate a list of closed deals,
together with evidence of personally originated revenue and mandates.
· Sector
Expertise: Strong understanding of startup financing and debt markets across
sectors, familiarity with the relevant lending and regulatory regime, and
active networks among banks, NBFCs, venture-debt and credit funds, VC/PE
sponsors, and founder communities.
· Skills:
Proven business-development and client-origination ability, strong commercial
judgment (pricing, structuring, risk assessment), excellent negotiation skills,
a strong understanding of debt documentation and deal structures, and sharp
analytical acumen.
