Purpose of the Role

You will become a trusted partner to a portfolio of primarily Luxembourg fund clients, providing expert support across corporate governance, legal administration, and entity lifecycle management. Working closely with clients, regulators, lawyers, notaries, and internal stakeholders, you will play a key role in ensuring entities remain compliant, well-governed, and efficiently managed.

This role offers the opportunity to build strong client relationships, develop your technical expertise, and contribute to the successful operation of complex fund structures. You'll have exposure to a wide range of corporate events, from entity incorporations and board meetings to restructurings and liquidations, while working within a collaborative and supportive team environment. Your attention to detail, organisational skills, and client-focused approach will directly contribute to delivering an exceptional service experience and maintaining Ocorian's high standards of governance and compliance.

Main Responsibilities

  • Act as a key day-to-day contact for clients, delivering proactive support across corporate governance and legal administration matters.
  • Manage corporate transactions and entity lifecycle activities, including incorporations, restructurings, and liquidations, with support from senior colleagues.
  • Prepare, review and coordinate legal and corporate documentation, ensuring accuracy and compliance with regulatory requirements.
  • Coordinate board and shareholder meetings, including preparation of board packs, agendas, resolutions and minutes.
  • Attend client meetings and support the delivery of high-quality governance services across client structures.
  • Liaise with regulatory bodies, notaries, lawyers and other external stakeholders to ensure efficient execution of corporate actions.
  • Oversee document execution processes, maintenance of statutory records, and filing requirements with relevant authorities and trade registers.
  • Monitor day-to-day client requests and recurring corporate actions, ensuring deadlines and service standards are consistently achieved.
  • Support compliance with internal policies, procedures and regulatory obligations while contributing to process improvements and best practice initiatives.
  • Provide support to senior management and contribute to wider team objectives and client deliverables.

  • Bachelor's degree in Law, Business Administration or a related discipline.
  • 4-7 years' experience within Luxembourg fund services, corporate services, or a similar corporate governance environment.
  • Fluent written and spoken English. Additional languages, particularly French or German, would be beneficial.
  • Professional qualifications, certifications, or additional training within a legal, governance or corporate administration discipline would be advantageous.

Knowledge, Skills and Experience

  • Strong understanding of Luxembourg fund structures, corporate governance and funds administration.
  • Ability to draft, review and manage legal and corporate documentation with a high degree of accuracy.
  • Excellent organisational and time management skills, with strong attention to detail and record-keeping standards.
  • Strong problem-solving abilities and the confidence to take ownership of tasks while appropriately escalating issues when required.
  • Strong IT skills.
  • Knowledge of Luxembourg regulatory requirements, the CSSF environment, AML requirements, and experience supporting complex fund structures would be advantageous.
