Associate Counsel Corporate
You will manage the legal aspects of acquisitions, divestitures, and strategic investments from initial intent through post-closing integration. You will draft and negotiate transaction documents, coordinate due diligence, advise on corporate structure and expansion, support regulatory approvals, and handle corporate legal matters.
Responsibilities
- Lead legal execution of acquisitions, divestitures, and strategic investments
- Draft and negotiate transaction, ancillary, board, and stockholder documents
- Coordinate due diligence and assess deal risks
- Advise on entity formation, corporate structure, and international expansion
- Support regulatory approvals and change-of-control filings
- Handle general corporate legal matters and intercompany agreements
- Collaborate on licensing, compliance, and regulatory matters
Requirements
- 4 to 8 years of corporate-law experience with meaningful M&A transaction experience
- Experience drafting and negotiating acquisition agreements, investment documents, and ancillary agreements
- Knowledge of corporate governance, entity management, and Delaware corporate law
- Ability to manage multiple workstreams and competing deadlines
- Communication skills for explaining legal concepts to business stakeholders
- Contract and transaction drafting skills
- JD and admission to at least one U.S. state bar
