(the “Company”) is one of the largest magnet wire manufacturers in the world that supplies a broad range of magnet wire or winding wire products to energy, automotive, and industrial markets. The Company operates in 11 countries across the globe, including the U.S., Canada, Mexico, China, Japan, Malaysia, Serbia, France, Germany, Italy and the U.K.
Currently privately held, the Company is in the process of applying for a listing of its common shares on the Korea Exchange.
Magnet Wire is an insulated copper or aluminum conductor used in industrial motors, transformers and generators, automotive applications, electrical coils and controls, and appliances. It is also used in motor and transformer repair. Essex Solutions develops innovative products and insulation systems to meet the ever-increasing demands of its customers.

General Purpose of the Position
We are seeking Corporate Counsel to join our in-house Legal Department and provide practical, business-focused legal support across the organization. This role will report to General Counsel and will partner with business leaders on corporate and commercial matters to provide legal counsel and guidance, manage legal risk, and provide solutions that support business objectives of Essex Solutions around the world.
Essential Duties and Responsibilities

Provide day-to-day corporate law support for the Company and its subsidiaries, including financing arrangements, M&A transactions, commercial contracts, intercompany arrangements, etc.

Assist General Counsel and Legal Compliance and Governance Manager in providing board committee support, including planning and coordination of board meetings, preparation and mailing of board materials, drafting board and committee minutes, resolutions, annual shareholder meetings, etc.

Provide and oversee legal support for real estate transactions, including leases, sales and acquisitions of real estate and facilities

Serve as the lead in-house counsel for a subsidiary of the Company that specializes in wire distribution and electrical/mechanical installation in commercial construction business

Assist General Counsel in administering and overseeing Company’s compliance programs, including anti-bribery, antitrust and restricted party screening.

In connection with the foregoing, reviews or conducts research, prepares legal documents, negotiates with outside parties, consults with and advises clients, and represents the company in dealing with others.

Responsible for managing relationships with outside counsel in areas of responsibility
Education and Experience Required

5-6 years of combined law firm and in-house experience, including 2 years in-house

Manufacturing sector experience preferred; however, progressive experience in any industry will be considered favorably

Bachelor's degree from a top quality, nationally recognized, accredited college or university

Juris Doctor degree from a top quality, nationally recognized, accredited law school, preferably in top 15% of graduating class

Licensed to practice law in Georgia or another U.S. jurisdiction with reciprocity with Georgia

M&A experience at a large law firm

Exposure to public company reporting experience desired but not required

Compensation and Benefits
The Company offers a competitive salary commensurate with experience and includes base, a target bonus, a long-term compensation program and a 401K plan with company match. Also, the Company offers medical and prescription drug coverage, a dental plan, vision benefits and additional benefit plans for employees. Expected to be in the office four days a week.
