Role and Responsibilities

Jefferies are looking to hire a qualified Equities Lawyer. They may be UK and/or Commonwealth qualified.

The successful candidate will provide transactional and other support to Jefferies’ Sales and Trading divisions including Sec Fin, Outsourced Trading Desk, Cash Equities, Repo Finance, Repackagings, Corporate Equity Derivatives, Equity Options, swaps in connection with EMTN and other note issuances and Jefferies Pan Pacific offices. Support is also provided to Risk, Operations and Treasury as and when required. The role will report to the Head of Sales & Trading Legal and work closely with the Equities COO.

Key responsibilities

• Providing day-to-day legal advice to the Cash Equities sales, trading and execution businesses.
• Drafting, reviewing and negotiating terms of business, brokerage and execution arrangements, electronic trading terms and other client and market-facing documentation.
• Advising on applicable legal and regulatory requirements, including market structure, market abuse, short selling, best execution, transaction reporting, conflicts of interest and conduct matters.
• Advising on cross-border trading and client coverage issues and working with the business and control functions to develop practical solutions to legal and regulatory implementation matters.
• Additionally, the candidate will also have expertise in derivatives and, ideally, specific experience in equity derivatives, enabling them to help provide legal support to Jefferies’ Strategic Equities Transaction Group (SETG). This experience would complement the role’s broader Cash Equities responsibilities and enable the successful candidate to provide integrated legal coverage across the Equities platform.

Key responsibilities in supporting SETG will include:

• Advising on the structuring, execution and lifecycle of strategic equity and equity derivative transactions.
• Identifying and advising on legal, regulatory, disclosure, market-conduct and reputational risks arising from proposed transactions.
• Supporting the legal aspects of internal new-business and transaction-approval processes, coordinating with Compliance, Risk, Operations and other control functions to develop practical solutions and facilitate efficient execution.
• In all cases, the candidate must be able to exercise independent legal judgement and provide appropriate challenge while remaining commercially focused and solutions-oriented, consistent with the Sales & Trading Legal team’s responsibility to support the business while operating as an effective risk and control function.

Person Specification

• Relevant experience in the UK practice of a leading international law firm or financial institution will be an advantage; however, the candidate need not have direct experience in all areas listed above but is enthusiastic and keen to learn.
