Legal Counsel

About the Role

We are seeking an experienced Legal Counsel to join our growing business and provide strategic, commercially focused legal support across corporate, commercial, regulatory, compliance and governance matters.

This is a high-impact in-house role with regular exposure to senior management, directors and external professional advisers. You will help strengthen and scale the company's legal and compliance framework as the business expands internationally and takes on increasingly complex commercial and corporate initiatives.

The ideal candidate will be a pragmatic and commercially minded lawyer who can operate independently, manage complex matters and translate legal and regulatory requirements into practical solutions for the business.

Key Responsibilities

Corporate & Commercial

• Provide practical legal advice to management on corporate, commercial and operational matters.
• Draft, review, negotiate and manage a broad range of commercial agreements.
• Advise on corporate structures, subsidiaries, investments, financing and strategic transactions.
• Support new business initiatives, partnerships and international expansion.
• Identify and manage legal issues arising from the company's day-to-day operations and strategic activities.

Regulatory & Compliance

• Develop, implement and maintain an effective legal and regulatory compliance framework.
• Monitor relevant Singapore and international regulatory requirements.
• Conduct compliance assessments and coordinate remediation initiatives.
• Maintain appropriate policies, registers, procedures and compliance documentation.
• Advise management on regulatory risks, investigations, potential breaches and remediation.
• Work with business teams to embed appropriate compliance controls and processes.
• Promote a strong culture of legal and regulatory compliance throughout the organisation.

Corporate Governance

• Advise senior management and directors on corporate governance matters.
• Develop and maintain appropriate governance policies and procedures.
• Advise on directors' duties, conflicts of interest and related-party transactions.
• Support board and director meetings, resolutions and related documentation.
• Help develop governance practices and internal controls that support the company's continued growth.

Legal Risk & Due Diligence

• Identify, assess and monitor legal and regulatory risks across the business.
• Lead or coordinate legal due diligence for significant corporate, commercial and strategic transactions.
• Review material contracts, litigation, intellectual property, employment, regulatory and licensing matters.
• Maintain legal risk registers and remediation plans.
• Ensure appropriate documentation and evidence of compliance are maintained.

International & Strategic Transactions

• Support the company on cross-border corporate and commercial matters.
• Coordinate with external counsel and professional advisers across multiple jurisdictions.
• Advise on legal and regulatory considerations relating to international transactions and strategic initiatives.
• Support complex transactions requiring coordination across multiple business functions.
• Provide legal input on financing, investment and other strategic corporate matters as required.

External Counsel & Stakeholder Management

• Manage relationships with external legal counsel and other professional advisers.
• Work closely with Finance, Compliance, HR, Operations and senior management.
• Provide clear, concise and commercially practical legal advice.
• Translate complex legal and regulatory requirements into actionable business processes.
• Manage multiple matters and stakeholders effectively while maintaining appropriate priorities and deadlines.

Requirements

• Singapore-qualified lawyer or equivalent legal qualification.
• 7–10+ years of relevant legal experience, preferably including in-house experience.
• Strong knowledge of Singapore corporate, commercial and regulatory law.
• Demonstrated experience in regulatory compliance and corporate governance.
• Strong legal drafting, negotiation and analytical skills.
• Experience managing external counsel and multiple stakeholders.
• Ability to work independently in a fast-paced and evolving business environment.
• Strong commercial judgment and the ability to balance legal risk with business objectives.

Preferred Experience

Experience in one or more of the following areas would be advantageous:

• Cross-border corporate or commercial matters
• Corporate governance and regulatory compliance
• Financing, investment or other strategic business matters
• Advising on complex or multi-jurisdictionalbusiness issues
• Working with external professional advisers andother stakeholders
• Developing or enhancing legal, compliance and governance frameworks
• Supporting significant corporate projects, transactions or strategic initiatives
• Experience working in a rapidly growing international business
